This agreement sets out the terms and conditions (Terms and Conditions') applicable to members of the service operated by OutsourceHeaven.com. Applicants (referred to as 'members') must agree to the following Terms and Conditions. In the event a member breaches or otherwise fails to comply with any provision of these Terms and Conditions then in addition to any other remedy available to OutsourceHeaven.com, OutsourceHeaven.com may terminate the participation of such member in the service and/or may withhold any payments relating to participation in the service due to such member from OutsourceHeaven.com.

ELIGIBILITY REQUIREMENTS

OutsourceHeaven.com shall have absolute discretion as to whether or not it accepts a particular applicant or site for participation in the service.

REMOVAL FROM NETWORK

OutsourceHeaven.com. reserves the right to terminate the participation of any member or site without reason but expressly including any member site that OutsourceHeaven.com judges to be in violation of the Terms and Conditions.

Members in violation of OutsourceHeaven.com's Terms and Conditions will be immediately deactivated. OutsourceHeaven.com may deactivate members with no prior notification. Members found in violation of the Terms and Conditions will not receive any credit or payment from OutsourceHeaven.com. Members that are terminated by OutsourceHeaven.com on any basis other than violation of these Terms and Conditions will be entitled to receive any payment due from OutsourceHeaven.com.

PAYMENTS

OutsourceHeaven.com will typically print and mail checks if the member requests it AND their account balance is equal to or greater than $10. This also applies to payments made through the Paypal service. All amounts are stated in and all payments will be made in US Dollars. We verify all deposits and might ask you to verify information relative to your deposit; If you refuse to send verification information via E-mail, Fax or Phone, we reserve the right to reverse the deposit and terminate your account. OutsourceHeaven.com reserves the right to suspend a withdrawal if the source of the funds is suspected to be fraudulent. Any funds received from an account having made a fraudulent deposit (e.g. stolen credit card) will be reversed immediately. If in a fraudulent payment situation a withdrawal has already been processed, you will be expected to return the funds to your OutsourceHeaven.com account or face account termination.

As previously stated, any member site that OutsourceHeaven.com removes from the service due to violation of the Terms and Conditions will receive no credit or payment.

Members should have adequate funds in their account to cover any immediate expenses. OutsourceHeaven.com fees are due when the project closes ( When the Talent Provider accepts the job). For Talent Seekers, you should have funds in your account to cover the $10 commission. Talent Providers should have funds to cover 10% of the winning bid amount. (If the winning bid is $150, $15 will be debited from your account when you accept the job)

Talent Seekers are also encouraged to have funds available in their account to cover payment due to the Talent Provider . Many Talent Providers will request that you transfer the winning bid amount from your account to our OutsourceHeaven.com escrow account so they know their work will be rewarded. Only the Talent Seeker can authorize release of the funds when you are satisfied with the delivery of the final product..

The Talent Seeker is completely responsible for payments transferred to the provider. You are strongly encouraged to not release funds to the provider until you have received and are completely satisfied with the final product.

Please be warned:
Once payment has been transferred to the provider, there will be no refund issued by OutsourceHeaven.com. If you transfer funds from your account to our escrow account and the project fails to materialize, we will restore the escrowed amount to your OutsourceHeaven account using the same method of payment initially used to make the deposit. We must receive your refund request within 45 days from commencement of the project. But remember, once the funds have been transferred to the provider, OutsourceHeaven.com will not issue a refund, so be certain that you are satisfied, before you transfer money to the Talent Provider.

COPYRIGHTS

No copyright material can be posted on OutsourceHeaven.com. This includes scripts which are sold by the author. Only posting sections of these scripts, as examples, will be permitted. A "section" being no more than 10% of the script's contents. This is meant to protect the author's rights.

MODIFICATIONS

OutsourceHeaven.com reserves the right to change the member Terms and Conditions at any time. It is the member's responsibility to check these Terms and Conditions from time to time for such changes. In the event OutsourceHeaven.com offers any additional or replacement services then this agreement shall apply to such services in the absence of any new agreement specific to such services which is entered into between the parties.

OWNERSHIP

Members agree that all information contained on a website operated by OutsourceHeaven.com, and all information compiled by OutsourceHeaven.com through its operations, is the proprietary information of OutsourceHeaven.com. Personal information provided by members to OutsourceHeaven.com will be kept confidential and will not be distributed to any third party.

E-MAIL ADDRESSES

Members agree not to post their e-mail address on the site, except in the "e-mail" field of the signup form, or when asked by OutsourceHeaven.com at any other time. There should be no need to give anyone your e-mail address, website or any contact information. Talent Providers are encouraged to utilize our generous PORTFOLIO section of their Profile Page to display samples their previous work and talents. Each party to a project will be provided the other's email address once the project begins. Before that time you can use the message board to communicate. This does not only apply to e-mail addresses, but to all methods of communication, including phone, ICQ, AIM, MSN Messenger, etc... See "Avoiding Commissions" below for the reason.

PROVIDING CONTACT INFORMATION

You are prohibited from making direct contact with another member, unless it's for a project that has been initiated on OutsourceHeaven.com. This includes giving out your e-mail address, ICQ number, phone number, or any other method of contact outside of this site. OutsourceHeaven.com provides you with message boards, which should be sufficient for pre-project planning.

AVOIDING COMMISSIONS

You are strictly prohibited from attempting to negotiate the fee for a project with another member directly (outside of OutsourceHeaven.com) after that project has been created/opened and before that project has been closed (basically, during an ongoing project). But this also applies to any project that was closed without a programmer being chosen, and then contacting them about the project anyway. Both parties are responsible for notifying OutsourceHeaven.com if the payment amount increases (above the bid amount) after the project is closed. Receiving a larger amount than the original project bid, without notifying us, will be considered an attempt to avoid the commissions. OutsourceHeaven.com reserves the right to suspend or terminate the membership of any member that attempts to avoid commissions.

POSTING PROJECTS

Any project posted should be require a bid equal to the amount of the completed project.  For instance, a project for Article Writing must request bids for a finite number of articles, not a per article price. (Need Bids for 25 articles of 500 words each on the dangers of mountain biking without a helmet) This project is for a finite number of articles and the respective bids should reflect a total price for 25 articles.  Requests for hourly rate quotes, per article quotes or any other abnormal bid require either a Job Posting or a Marquee Project. posting.  

BIDDING

Talent Providers may only place bids that equal the total amount of you expect to receive for the completed project.. You may not post an hourly bid or any other abnormal type of bid.   

MARQUEE PROJECTS

Marquee Projects are premium projects that receive top billing, additional marketing and a higher level of service.  

ADVERTISING

You are prohibited from advertising your website on OutsourceHeaven.com. Any URL posted in a bid, project description, or the message board, must relate to a project on OutsourceHeaven.com. An example of a permissible URL is: Need Exact Clone of  YouTube.com 

THE ROLE OF OutsourceHeaven.com

OutsourceHeaven.com is a virtual marketplace where Talent Seekers are connected with talented individuals and businesses that are able to satisfy their service needs.  As a neutral facilitator, OutsourceHeaven.com is not directly involved in the actual transactions between members.  Unless otherwise disclosed, we do not employ any of the service providers.  As a result, OutsourceHeaven.com has no control over the truth, accuracy, quality, legality, or safety of postings made by users. Because verifying the identity of a user on the Internet is difficult, OutsourceHeaven.com cannot and does not confirm the identity of users. OutsourceHeaven.com also does not confirm nor verify the qualifications, background, or abilities of users.  While we monitor the Ratings and Performance comments of all of our members, we recommend that you be judicious and exercise common sense in your dealings with any member on the site.  If you do not have previous experience and a high comfort level working with a particular member, we encourage you to utilize our escrow service to protect both parties.  We will not refund the money you have transferred to someone, and we are not responsible for your transactions. OutsourceHeaven.com is not responsible for fraudulent payments made by users and cannot be held liable for financial loss incurred from fraudulent transactions. It is the receiver's responsibility to beware and exercise caution..
